Terms of Use

1. ACCEPTANCE OF TERMS

By accessing or using the website of Noss & Russell, LLP ("Firm," "we," "us," or "our") located at nossrussell.com (the "Site"), you agree to be bound by these Terms of Use. If you do not agree, please do not use the Site. These Terms of Use incorporate by reference the Firm's Disclaimer and Privacy Policy.

2. ELIGIBILITY

You must be at least 18 years of age and able to enter into a binding contract under applicable law to use the Site. If you use the Site on behalf of another person or entity, you represent that you have authority to bind that person or entity to these Terms of Use.

3. NO ATTORNEY-CLIENT RELATIONSHIP

Your use of the Site, including reading its content, subscribing to the newsletter, or submitting an inquiry, does not create an attorney-client relationship between you and the Firm. An attorney-client relationship is established only through a written engagement agreement signed by both you and the Firm following a conflicts check and acceptance of representation by the Firm. Do not send confidential, privileged, or sensitive information until such an agreement is in place.

4. NO CONFIDENTIALITY OF SUBMISSIONS

Communications you send to the Firm through the Site, by email, by text message, or by other electronic means before an attorney-client relationship has been established in writing are unsolicited and unilateral. The Firm has not agreed to receive, evaluate, or maintain in confidence any information you transmit through these channels, and the security of these channels cannot be guaranteed. Until a written engagement agreement is signed, do not transmit confidential, privileged, or sensitive information.
Nothing in this provision is intended to waive any protection that may apply to communications with prospective clients under California Rule of Professional Conduct 1.18 or other applicable law.

5. INTELLECTUAL PROPERTY

All materials on the Site, including text, graphics, photographs, logos, design elements, and the Firm's name and marks, are the property of Noss & Russell, LLP or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws. You may download or print materials for personal, non-commercial use only, provided you keep all copyright and proprietary notices intact. Any other use requires the prior written consent of the Firm.

6. PROHIBITED USES

You may use the Site only for lawful purposes. You agree not to:

  • Use the Site in any manner that violates applicable federal, state, or local law

  • Attempt to gain unauthorized access to any portion of the Site, the Firm's servers, or any connected networks

  • Use automated means, including scrapers, bots, or crawlers, to extract data from the Site without the Firm's prior written permission

  • Reproduce, distribute, modify, or create derivative works from Site content except as expressly permitted

  • Interfere with or disrupt the operation of the Site

  • Transmit any unlawful, harassing, defamatory, infringing, or otherwise objectionable content through the Site

7. SUBMISSIONS

Any inquiry, message, or other content you transmit to the Firm through the Site ("Submissions") is not confidential. By making a Submission, you represent that you have the right to do so and that the Submission does not infringe the rights of any third party. The Firm may use Submissions to evaluate potential representation, respond to your inquiry, conduct conflict checks, and as otherwise reasonably necessary to administer the Firm's business, subject to its professional obligations.

8. DMCA COPYRIGHT POLICY

The Firm respects the intellectual property rights of others. If you believe in good faith that material on the Site infringes your copyright, you may submit a notice to the Firm's designated copyright agent containing the information required by 17 U.S.C. § 512(c)(3), including identification of the copyrighted work, identification of the allegedly infringing material, your contact information, a good-faith statement, a statement under penalty of perjury that the information is accurate, and your physical or electronic signature.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NOSS & RUSSELL, LLP, ITS PARTNERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF THE FIRM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.


Nothing in these Terms of Use limits or excludes liability that cannot be limited or excluded under applicable law, including California Civil Code § 1668.

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Noss & Russell, LLP and its partners, employees, and agents from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising from (a) your use of the Site, (b) any Submission you make through the Site, or (c) your breach of these Terms of Use.
